This website ‘Geribodo4Design’ is owned by the sole trader Claire Garbutt (who is also the data controller) of 7 Vicarage Mews, Elloughton, East Riding, HU15 1JE and the website is hosted securely by ‘IONOS’.  These terms were last reviewed on 6th February 2021.

Please note that the content of these terms is for general information and use only and they are subject to change without prior notice.  Therefore, we ask that you review these terms at the time of signing your proposal/contract and ensure you have the most up to date version.  You will be provided with a copy of our terms alongside your contract, but we accept no liability for the incorrect signing of older versions you may have in your possession.  Please, alongside these terms read a copy of our Terms and Conditions and Privacy Policy, which form part of your contract between Geribodo4Design and ‘You’ as the client. 

By commissioning Geribodo4Design verbally or in writing to commence work will be taken as acceptance of the following terms and conditions. If anything below is unclear please do not hesitate to contact us. Otherwise, we will assume you have read and understood our terms.

Quotations/Proposal/Contract/Invoicing:

• Please note that Geribodo4Design is not VAT registered, therefore all costs provided exclude VAT.  Quotations will be valid for thirty days.  Thereafter, these maybe subject to evaluation/change.
• Quotations are merely a guide price and based upon how much time we envisage the creative process to take.  The costs could also be an assumption based on previous experience of a similar job.      Client co-operation in provision of content is important to help support the meeting of deadlines and approval, failure to comply could affect the final costs and proposal agreed. Within reason, additional charges may be payable if there are significant variations to this, although the client would be made aware. Charges are unlikely to deviate from those quoted unless requirements change significantly.
• All quotations/proposals will take into consideration project management costs, travel incurred and meetings attended.  Other items such as additional costs for photography, stock images, copywriting, video rendering, music or voice overs will be listed separately.  Additional costs maybe incurred if items are not agreed at the original proposal/contract stage and outside of the costs originally agreed as part of the project.  This list is not exhaustive, but an example of costs that need to be considered when developing a project brief between Geribodo4Design and ‘You’ as the client.
• No creative work or development will commence until a quotation, proposal, and or a written contract is signed and agreed by both parties.     A minimum deposit of 50% of the agreed costs may be required (unless otherwise agreed in writing). This will also apply if the work is taken on as a project or on a retainer basis.  Where the job will take place in stages, an initial deposit will apply and further instalments will be set out during the process of each stage, to be agreed with the client in advance.
• The client will be required to sign off each stage of the process before any items, for examples are sent for print or publishing.  Written consent will be required before any further development can take place. Any amends after signed approval may incur additional charges for further time spent, and additional costs incurred due to reproduction (although the client would be made aware of this in advance).
• Unless otherwise agreed, all final payments invoiced are due on completion of work that has been officially signed off in writing and before delivery of the final project to the client.

Working with Third Parties/Partners, Agencies or Individuals or Suppliers:

• Any third-party services, for example printed materials or giveaways, that are provided as part of your contract with Geribodo4Design may require 100% upfront payment.  Please note that we may be unable to proceed to the next stage without receipt of or proof of this payment.  These terms will be based on the supplier’s requirements and we take no responsibility for delays if the client does not adhere.  However, please note we will always try to make the transition as smooth as possible and do everything we can to support you through this process. 
• At times Geribodo4Design may partner with other agencies or individuals, who are trusted by us, to fully complete a project.  For example, we may partner with photographers, website developers and video/animation producers.  All work will be undertaken as a collaboration, partnership agreements will be in place and we will take full responsibility for the whole management process.  This will be discussed with the client at the time of the proposal and agreed as part of their contract.
• We strongly recommend that the client uses our preferred suppliers for printing, as an example.  All of our suppliers are evaluated on quality and costs, the ability to meet deadlines and their delivery history.  We will always seek a number of quotations to ensure the best fit for each job.  We want our clients to have the same level of high-quality work that you would expect from Geribodo4Design and it enables us to keep control of the whole process from start to finish (however, we will not accept liability for errors signed off by the client or delays that are out of our control).      If you do wish to work with your own suppliers, Geribodo4Design will not be liable for the quality of work or said delivery of the job at this stage and accepts no liability of costs related to such events.

Information required by the client:

• To enable Geribodo4Design to meet the agreed completion date, it will be agreed with the client when typical resources such as logos, images, related content, colour and brand guidelines (a full list of requirements will be agreed once the proposal and contract is signed) are to be delivered, these must be delivered in a timely manner to meet the requirements of the contract.  We will always do our best to adhere to timelines and deadlines, but please be aware that delays in the delivery of information and sign off during the process could affect the completion date.  If the project over runs due to the client, a third party or situations outside of our control, we accept no liability for the project not meeting the estimated delivery times. 
• It is assumed that, unless otherwise stated, most copy and images will be provided by the client, although Geribodo4Design will contribute and support this process as agreed during the inception of the proposal.

Conceptual Designs:

• Costs provided allow for presentation of a minimum of two creative options per brief for the client to choose from.  Further alternative options will be made available, if required and agreed between Geribodo4Design and the client (additional costs maybe incurred). 
• Proposals of costs and work to be initialled will take into consideration amendments, to a maximum of three sets of client amends, after which time additional charges may become payable, although the client would be made aware of this in advance. If amends relate to a change in creative direction additional charges may be incurred.

Copyright and Trademarks:

• Until the job is complete and a final payment is received, the copyright and ownership of designs (in print or digital) will reside and remain the intellectual property of Geribodo4Design.  Work will be surrendered to the client once full payment is received (this will exclude alternative designs, concepts, options, original artwork files, images or documents developed throughout the process). 
• Work produced by Geribodo4Design may be used for Geribodo4Designs promotional purposes unless otherwise (in exceptional circumstances) prearranged with the client.  This also includes the credit and acknowledgment of Geribodo4Design and the right to use the work for self-promotion in its portfolio, in presentations, in advertising, in print and online.
• Geribodo4Design will never knowingly infringe any copyright or trademark and will deliver, to the best of knowledge, creative solutions that are original and unique to Geribodo4Design. Unless otherwise agreed in writing, it is the responsibility of the client to ensure that no copyright or trademark has been infringed and to make their own application for copyright or trademark with the ‘UK Intellectual Property Office’ if required.

Other Considerations:

• Clients should be aware that due to a variety of factors there will often be variance in colours shown between in-house proofs, colours on screen, printer’s proofs, and final printed items. These factors are determined by the source of the print or visual. As a result of this Geribodo4Design is unable to guarantee 100% consistency and accuracy of colour on all items and may not always be able to achieve the exact result expected by the client. We do not accept any responsibility for colour variations as a result of these indeterminate factors.  The printers maybe able to provide a colour match to the client directly in advance of the work going to print and the client will be expected to sign for it’s true representation before the work is finalised.  Geribodo4Design will not accept liability once sign off from the client has been obtained.
• Geribodo4Design does not by default offer clients the original artworks, for example the raw InDesign, Illustrator or Photoshop files (these maybe provided, upon agreement, at an additional cost) However, upon request we will provide the end-artwork, for example the print ready PDF or EPS files. 
• All unused designs, images, documents and concepts generated throughout the process of the project and which are rejected by the client will remain the Intellectual property of Geribodo4Design for exclusive use at any time and will not be given to the client for future use. 

Data Protection:

• Geribodo4Design will always adhere to and respect the data protection and security of client information and at no time will we directly or indirectly use your information for personal benefit or divulge, disclose or communicate any information that is the property of the client. We take your privacy seriously and will ensure the upmost professionalism and confidentiality at all times. 

Legal Information:

• The client agrees to indemnify Geribodo4Design and keep Geribodo4Design indemnified and hold Geribodo4Design harmless from and against any claims, actions, proceedings, losses, liabilities, damages, costs, or expenses suffered or incurred in relation to work or services provided. Geribodo4Design is not liable for any loss that may occur before, during or after the development of projects undertaken. Geribodo4Design will not be held responsible for any delays, errors or losses arising from any third party.
